Dane Suite Service Agreement
The plain-English terms for every Dane Suite service and plan. Version 3 · last updated October 6, 2026.
The short version of section 2A (one-time services). The Owner Growth Call and the Team Assessment are one-time purchases for Arizona contractors: you pay once, nothing renews, and there is no subscription. The interviews are recorded and the interviewer is an AI, and it says so at the start of every call. A person on our team reviews every report, a Game Plan Call to go through it is included (you book it), and payments are non-refundable — if you are not satisfied you can redo the AI interview once at no charge within 30 days. Anything beyond them (an AI Department build or a care plan) is quoted in writing and only starts when you sign that quote.
The short version (plans, existing clients). Dane Suite finds you work, helps you win it and shows you which jobs make money. It works through your own email. You connect your Gmail, or set up a forwarding rule (that is how Outlook and other email works today), and we read only the lead and bid notifications you chose to receive. We keep the job details we pull out, not your mailbox, and we delete the raw email text within 30 days. We never sell your data. We never log in, post, message or scrape on Facebook, Nextdoor, Craigslist, Yelp, Thumbtack, Angi or Google for you. Anything sent in your name uses wording you approved, and you can switch automatic sending off at any time. We prepare bids and quotes; you check them, sign them and submit them. We only promise features that are live. Features still being built arrive when they're released, at no extra charge on a plan that lists them. You can start free for 14 days with no card, and you are never charged automatically: billing starts only on the day you choose a plan, when the setup fee and first month are charged. Starter is month to month. Pro has a 3-month minimum and AI Department has a 6-month minimum. After that you can cancel with 30 days' notice. Pro comes with a 60-day guarantee. We don't promise jobs, wins or revenue.
1. Who this agreement is between
This agreement is between Danesure, Inc., doing business as Dane Suite ("Dane Suite", "we", "us"), 14545 W Grand Ave, Ste 106 #1196, Surprise, AZ 85374, and the business that buys a Dane Suite plan or service ("you"). The person who accepts it confirms they are authorized to agree for that business. You accept it by ticking "I agree" at checkout, by starting a free trial (for trials started before October 6, 2026), by signing an order form that refers to it, or by paying an invoice that refers to it.
Dane Suite is a service for businesses. It is not offered to consumers for personal or household use.
2. The services and plans
From October 6, 2026, the plans in this section and the free start are available to existing clients only. New clients start with the one-time services in section 2A. If you already have a plan, nothing about it changes.
Dane Suite runs features from our library on our own platform, set up for your business. We set them up, run them, watch them and tune them every month, and we send you a monthly results report.
Your order governs. The plan, the price, the setup fee and any minimum term are the ones shown at checkout, on your signed order form or on your invoice, on the day you sign. The current list prices appear below and on danesuite.com.
| Plan | Monthly | Setup (one time) | Minimum term |
|---|---|---|---|
| Starter | — | — | None (month to month) |
| Pro | — | — | 3 months from go-live |
| AI Department | — | — | 6 months from go-live |
What each plan includes
- Starter. Lead Inbox (AI filtering of your lead notifications, with email alerts and our lead-source setup guides). Job Finder: public bids matched to your ROC license classes, shown in your portal every day (email alerts coming soon). Bid Prep for your first bid, free. The Owner Brief (coming soon). The included basics: speed-to-lead replies, estimate follow-up and review requests. The monthly results report.
- Pro. Everything in Starter, plus Bid Prep on every bid, AI replies to leads (building), text alerts (coming soon), the AI Quote Engine (coming soon) and Job Costing (coming soon).
- AI Department. Everything in Pro, plus custom lead sources and custom workflows, scoped with you in writing at each quarterly roadmap review.
Live, Building and Coming soon
Each feature is labelled Live, Building or Coming soon on danesuite.com and in your portal. We only promise features that are Live on the day you sign. We tell you in writing at signing which features are live and our target month for the others. A feature that is Building or Coming soon is delivered when it is released, at no extra charge on a plan that lists it, but we don't promise a release date. Your portal shows each feature's status, and we never show results for a feature that isn't running. If a feature listed on your plan is withdrawn rather than released, we will tell you in writing and you may cancel without owing the rest of any minimum term.
Other services
- AI Consult & Setup Session (—, one-off). A 2-hour remote session, paid in advance. It is not a plan and has no minimum term. We schedule it with you by email. If we can't schedule it, we refund it.
- Custom work (— an hour, or a fixed quote). Custom work is scoped in writing before any deposit, invoiced separately, and never changes your plan price.
Sections 7 to 16 also apply to anything we set up in a consult or as custom work.
Prices are the same for every client. We don't offer discounts, except the case-study discount on the Owner Growth Call in section 2A.
The free start
- 14 days, no card. You can start Dane Suite free at danesuite.com/start. No card is collected, so nothing is ever charged automatically, not during the free start and not when it ends.
- What's included. During the 14 days, Job Finder matches public bids to your license in your portal, Lead Inbox sorts the lead notifications you connect or forward, and your first bid is prepared free (Bid Prep, section 11).
- After day 14 without a plan. You keep a free view of how many bids match your license. Lead Inbox pauses. Nothing is charged and nothing renews.
- Choosing a plan. Billing starts only on the day you choose a plan. The setup fee and your first month are charged that day (section 4), and the 14-day launch follows (section 3). Choosing a plan, at checkout, on an order form or by paying an invoice, is what this agreement calls "signing".
- The rest of this agreement applies during the free start too, except the parts about fees and minimum terms. You can stop using the free start at any time.
2A. One-time services: Owner Growth Call and Team Assessment
These services are for Arizona contractors only. They are paid once, at checkout, through Stripe. They are not subscriptions and nothing renews or is charged again automatically. Sections 3 to 6 (launch, monthly billing, minimum terms and the Pro guarantee) don't apply to them; sections 14 to 27 do.
- Owner Growth Call (—, one-time). You call our AI interviewer at a time that suits you. The call usually takes 20 to 40 minutes, because the interviewer asks follow-up questions about the tools and systems your business already uses. We analyze the transcript of your call to map how work moves through your business (leads, bids, scheduling, admin) and show where AI and automation fit. Your report arrives within 2 business days of your completed interview call, by email: more work, win more bids, cut costs, and your top 3 fixes with dollar estimates.
- Case-study discount. The first 10 buyers who agree to the Dane Suite Case-Study Agreement get a — case-study discount and pay — for the Owner Growth Call. In return we may publish a short case study of what your call found and what changed. You choose your visibility (anonymous, first name, or named) when you review the draft; nothing naming you is published without your approval; and we never publish your dollar figures, customers, staff or call recording. Every published case study says you received a discount. The Case-Study Agreement has the details and wins if the two ever conflict about a case study. Stripe closes the discounted price after 10 sales. (Buyers of the earlier first-five price keep the testimonial terms they agreed to.)
- Team Assessment (— under 10 staff, — for 10 to 50, — for 50 to 100, one-time). AI interviews of the owner and staff (in the browser or by phone, each person with their own private link and interview code), with a web survey for anyone who prefers it, a full written report, a 90-day roadmap and a priced build plan. Your report arrives within 10 business days of the last completed interview. If you bought the Owner Growth Call, the amount you paid for it is credited against the assessment. Ask us for the credit before you pay or within 30 days after.
- Team Assessment privacy setting. When we set up your Team Assessment you choose how your team's answers reach you. Confidential (the default): you receive findings by department and quotes with no names attached, never recordings, transcripts or who said what, and any department with fewer than 3 completed interviews is combined into an “Other” group; your progress page counts completions by department, not by name. Named: you may see each person's name, position, transcript and survey answers (not audio recordings). We tell every participant which setting applies in their invitation and before they answer. You can change the setting only until the first person takes part; after that it is locked, and answers always keep the setting the person was told. In either setting, the Dane Suite staff who write your report see and hear everything, and every such access is logged. Please don't ask staff to share their personal links or codes, and don't pressure anyone to take part or to tell you what they said. See our Privacy Policy, section 5B.
- Recording and AI. Every interview is recorded and the interviewer is an AI. It says both at the start of the call, and you can stop at any time. By continuing the call, you agree to the recording. We tell each staff member that their interview is recorded and run by an AI, and which privacy setting applies, in their invitation and again before they answer; please let your team know the review is happening. We use recordings and transcripts only to prepare your report and the work you buy from us. We never sell them. You can ask us to delete a recording once your report is delivered.
- Estimates, not promises. Dollar figures in a report are estimates calculated from the numbers you gave us, with the working shown. They are not a promise of results (section 17).
- Review, follow-up and your Game Plan Call. A person on our team reviews every report before it is delivered. If something in the call needs clarifying, our team may call you with a few follow-up questions. Every Owner Growth Call includes a 30-minute Game Plan Call (a Team Assessment includes a 60-minute one) to walk through your results, answer questions and talk through next steps. You book it yourself after the report is delivered, within 14 days; if you don't book it, it lapses and nothing is refunded for it.
- No refunds; one free redo. Payments for the Owner Growth Call and the Team Assessment are non-refundable. Not satisfied with your report? We'll go over it on your Game Plan Call, and you can redo the AI interview once, at no charge, within 30 days of receiving the report — a second conversation often surfaces different answers — and we'll write a fresh report. If we can't deliver a report at all for a reason on our side (for example, the call can't be completed because of our systems), we will either deliver it or, if we can't, refund what you paid for it.
- AI Department build and Care plan. A build (—, fixed scope) and a care plan (— a month) are quoted in writing after an assessment. Neither starts or is billed until you sign that quote, which sets its own scope, price, payment schedule and cancellation terms. Your assessment fee is credited against a build.
3. Setup and launch
- The setup fee pays for onboarding: the kickoff call, connecting your email and software, the lead-source setup guides, setting up your trades, license classes and service area, writing your templates in your voice, a live test and switching your features on.
- We aim to have you live within 14 days of signing (the day you choose a plan), with about 60 minutes of your time. To launch, you need to do your onboarding steps: connect your mailbox or set up a forwarding rule, turn on the lead sources you use, enter your trades, license classes and service area, and approve your templates. If a step on your side is late, the go-live date moves.
- Your go-live date is the day we switch your plan on. It is shown in your portal. Minimum terms and the Pro guarantee count from it.
4. Fees, billing and payment
- Setup fee. Charged once, on the day you choose a plan, together with your first month. Nothing is charged during the free start.
- Monthly fee. Your first month is charged on the day you choose a plan, together with the setup fee, never before. The 14-day launch (section 3) follows. After that you're billed monthly in advance on the same day of the month, by card or bank payment through our payment processor, Stripe. If launch finishes early or is delayed by a step on your side, the go-live date in your portal moves, but your billing date stays on the Stripe schedule unless we agree a change in writing.
- Taxes. Prices don't include any sales or transaction privilege tax. If tax applies, it is added.
- Invoices and receipts come from Stripe and are available in your portal under Billing. We never see or store your full card number.
- Late payment. If a payment fails, Stripe retries it and we tell you. While it is unpaid, your portal becomes read-only. If it is still unpaid after 15 days, we may pause sending and alerts until it is paid. We don't charge late fees or interest. Nothing is deleted because a payment failed. Fees still owed for a minimum term remain payable.
- Disputes. If you think a charge is wrong, tell us within 60 days of the charge and we'll look at it before you dispute it with your bank.
5. Minimum term, cancelling and the setup fee
- Starter has no minimum. Cancel any time. Cancellation takes effect at the end of the month you have paid for.
- Pro has a 3-month minimum and AI Department a 6-month minimum, both counted from your go-live date. After the minimum, the plan continues month to month until you cancel.
- After any minimum term, cancel with 30 days' written notice. A request in your portal or an email to [email protected] counts. Your plan runs, and is billed, through the end of the notice period. You can give notice during the minimum term so that it ends when the minimum does.
- If you cancel during a minimum term, the monthly fees for the rest of the minimum are still owed, unless section 6, 18 or 21 says otherwise.
- Setup fee. If you cancel before work starts (before your kickoff call and before we connect any of your accounts), we refund the setup fee in full. Once work has started, the setup fee is not refundable, including when launch is delayed by a step on your side, except as section 6 says.
- Section 15 explains what happens to your data when a plan ends.
6. The Pro 60-day guarantee
If, within 60 days of go-live, Lead Inbox and Job Finder together have not delivered at least 10 qualified job requests or matching bid opportunities to you, you can cancel with no further months owed and we refund your setup fee.
- It applies to the Pro plan only. Day 60 counts from your go-live date. If go-live moves because a step on your side was late, day 60 moves with it.
- A qualified job request is a real request for work that Lead Inbox delivered to you in an alert. It must match your trades and service area. Duplicates, spam, scams, job-seekers, sales pitches and DIY questions don't count.
- A matching bid opportunity is a public solicitation that Job Finder delivered to you. It must match your ROC license classes and service area, and it must have been open for at least 7 days after we alerted you.
- We count only what our system logged as delivered to you. Your monthly report shows the count.
- What we ask of you: you finished onboarding, you kept your mailbox connection or forwarding rule on, and you turned on at least three of the lead sources in our setup guides that you use. If you didn't, the guarantee doesn't apply. We will tell you in writing before day 30 if something on your side is putting the guarantee at risk, so you can fix it.
- We run the check ourselves in the report that covers day 60. If the number is short, we say so and offer the cancellation and refund. You don't need to find this clause. You have 30 days after that report to accept.
- Months already billed are not refunded. The rest of the 3-month minimum is waived. The setup-fee refund goes back to the card or account you paid with.
- The guarantee measures what we deliver. It doesn't promise that any lead or bid will become a job.
7. Your email and account connections
7.1 Connecting your mailbox
Lead Inbox works through your own email. You choose one of these:
- Connect Gmail or Google Workspace, using Google's own sign-in. (A direct Outlook or Microsoft 365 connection isn't available yet; Outlook and other email use a forwarding rule.) You authorize us to read your mailbox so we can find and filter the lead and bid notifications you chose to receive. If your plan sends replies or follow-ups from your mailbox, you also authorize us to send the messages you approved (section 9).
- Or set up a forwarding rule that forwards only the notification senders you pick to your Dane Suite intake address. We then see only what you forward. We can't send from your mailbox this way, so replies are drafts for you to send.
During our early launch, Google may show an "unverified app" screen. You can use a forwarding rule instead.
7.2 What we read and what we keep
- What we look at. Our system checks incoming messages to see whether each one is a notification from a source you set up, such as a Facebook group notification, Craigslist alert, Nextdoor digest, lead email from Yelp, Thumbtack, Angi or Google, website form, or bid-portal notice. It also checks replies to messages we sent for you. Anything else is ignored and not stored.
- What we keep. From the notifications that match, we keep the excerpts and parsed fields we need to run your service. That means who made the request, the work, the location, the timing, how to reply, and the text of the request. We also keep the replies you approved and a record of what was sent. We don't copy or keep your whole mailbox.
- Raw email content that we fetch to process a notification is deleted within 30 days. The parsed fields are kept while your plan is active, and section 15 covers what happens after.
- Card numbers, bank details and Social Security numbers are removed before any AI model sees your text, and they are never written into a message.
- No person at Dane Suite reads your email, except (a) a specific message you ask us to look at, (b) where needed for security, such as investigating abuse, (c) where the law requires it, or (d) data that has been aggregated and anonymized for running the service.
7.3 Google user data: Limited Use
Dane Suite's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. In particular, data we get from your Google account:
- is used only to provide and improve the Dane Suite features you use and can see (finding, filtering and alerting you to leads and bids, and sending replies you approved);
- is not transferred to anyone else, except as needed to provide those features (to the service providers in section 14), to comply with the law, or as part of a merger, acquisition or sale of assets, with notice to you;
- is never used for advertising, including retargeting or personalized or interest-based ads;
- is never sold, and is never used to work out creditworthiness or for lending;
- is not read by people, except in the cases in section 7.2;
- is not used to develop, improve or train generalized AI or machine-learning models.
7.4 Microsoft user data
When we offer a direct connection to your Microsoft account (Outlook, Microsoft 365) through Microsoft Graph, we will apply the same rules to that data. We follow the Microsoft APIs Terms of Use and publisher requirements, request only the permissions we need, and you or your administrator can remove our access at any time.
7.5 Jobber, QuickBooks and other connections
- Jobber is connected read-only. We read requests, quotes, jobs, completed jobs and timesheets to run your features. If the Quote Engine later needs to create quotes in Jobber for you, we will ask for that permission separately and only push quotes you approved.
- QuickBooks Online is connected read-only for Job Costing. We read transactions, customers and projects. We don't change your books (section 13).
- We connect only through each system's own sign-in or a named user invite. We never ask for your passwords, and we never ask for your banking or payroll logins.
- We connect only to software on our supported list. If a provider changes or withdraws its API, we'll tell you what changes and offer the nearest working alternative.
7.6 Your control
You can disconnect any connection at any time from your portal, from your Google or Microsoft account security settings, or in Jobber or QuickBooks. Features that need that connection then stop. Disconnecting doesn't cancel your plan or change a minimum term.
8. Third-party lead sites
- We never log in to, post on, comment on, message on or scrape Facebook, Nextdoor, Craigslist, Yelp, Thumbtack, Angi or Google, or any other lead site, for you. We only read the notifications that you chose to receive from those sites in your own mailbox or through your forwarding rule.
- For a lead that has to be answered inside a site's own app, we draft a reply. You decide whether to use it, and you post it yourself. Drafts are suggestions for you to review.
- You are responsible for following each site's terms, community and group rules, and advertising rules, and for your own accounts there. That includes how you set up notifications, how you answer leads and any fees those sites charge you. Our setup guides show you how to turn on notifications those sites already offer. They are not advice about those sites' rules, which can change without notice.
- Those sites can change or stop their notifications at any time. If a source goes quiet, we'll tell you and update the guide, but we can't promise any site keeps sending notifications.
- Dane Suite is not affiliated with, endorsed by or a partner of any of those sites.
9. AI drafts and automatic replies
- You approve the voice. Nothing is sent in your name until you have approved the templates and the tone we set up for you. You can edit or reject any template.
- Automatic sending is your choice. Replies to email-based leads and estimate follow-ups are approved by you one at a time at first. They send automatically only after you turn auto-send on in your portal. Speed-to-lead replies to new inquiries use the template you approved, because a one-minute reply can't wait for a tap. Anything the templates don't cover, such as a complaint or a price question, comes to you.
- You can turn it off at any time in your portal or by telling us. That includes automatic sending and any feature.
- You are responsible for what is sent in your name, including templates and auto-send settings you approved. We don't invent urgency, discounts, fees or promises in your name.
- AI can make mistakes. We use reasonable care. That includes filters, your templates, limits on what an automatic reply may say, and a person reviewing anything unusual. Even so, AI can misread a message, misclassify a lead, miss a lead or draft something wrong. Check drafts before you use them. If something goes wrong, tell us and we'll fix it and tune the system.
10. Texts, emails and communications law
- Texts to consumers, where your plan sends them, go only to (a) people who contacted you first, as a reply to that contact, or (b) your own customers who have given you consent to receive texts. Texts identify your business and honor STOP immediately and permanently. We never text purchased or scraped lists, never send cold texts and never make AI or prerecorded calls for you.
- Your consent records. You confirm you have the consent the law requires, including under the Telephone Consumer Protection Act (TCPA), for any customer you ask us to text. You keep those records. Tell us about anyone who has opted out and we will exclude them. Email is the default wherever consent is unclear.
- Email. Messages we send for you follow the CAN-SPAM Act where it applies. They show your business name and your real reply address, they don't use misleading subject lines, and they include an opt-out and your postal address where the law requires it. You are the sender of those messages, and we honor opt-outs you receive.
- Alerts to you. Text alerts to you and your team (Pro and up) are sent only to numbers you give us with your consent. Message frequency varies, and message and data rates may apply. Reply STOP to stop or HELP for help. Email alerts continue unless you turn them off.
- Arizona and other states have their own laws on texts and solicitations. If a law needs more than this section, we'll follow the stricter rule.
11. Job Finder and Bid Prep
- Job Finder finds and summarizes public opportunities, such as SAM.gov, ADOT and state, city and school-district bid notices you subscribe to. It matches them to your license classes, trades and service area and shows them in your portal with a link to the official posting (email alerts are coming soon). Listings change often. Always check due dates, addenda and requirements on the official posting. We don't promise to find every opportunity.
- Bid Prep (every bid on Pro and up; your first bid free on any plan, including the free start). When you ask, we help prepare vendor registrations, a capability statement, bid forms and a pricing draft based on your own costs and rates.
- You register your own business. SAM.gov registration is free, and so are many public vendor portals. We never charge for registration itself, only for our preparation help, which is part of your plan. Your business creates and controls its own registrations and logins.
- You review, sign and submit every bid. We never submit, sign or certify anything in your name, and we don't represent you to any agency. You are responsible for everything in your bid. That includes its accuracy, your prices, your certifications and representations (including small-business size status and set-aside eligibility), and meeting each solicitation's requirements for licensing (including your Arizona ROC license), bonding, insurance, prevailing wage, site visits and deadlines.
- No guarantee of award. We don't promise that any bid will be accepted, or that any agency will contract with you.
When we help more than one client on the same solicitation
Other Dane Suite clients may be interested in the same solicitation, and we may help more than one of them. If we do:
- Strict confidentiality. Your pricing, costs, rates, bid documents, strategy and the fact that you are bidding are your confidential information (section 16). We never share them with another client and never use them in another client's work.
- Information barriers. Each client's bid work is kept in that client's own workspace. Pricing drafts are built only from that client's own numbers. Our AI tools are never given one client's bid information while working for another.
- No coordination. We never coordinate bids between clients. We never suggest that anyone raise, lower or hold back a bid, divide up work or customers, or take turns. We don't tell any client who else is bidding or what they plan to bid.
- If we can't keep those rules on a particular solicitation, we'll decline to help on it rather than take the risk. We may also tell you, without naming anyone, that we are helping another bidder.
12. AI Quote Engine
- The Quote Engine produces draft quotes. Prices come from your own price book, never ours. You approve or edit every quote, and nothing reaches your customer until you do.
- Property facts (such as county assessor records), satellite imagery and measurements come from public and third-party sources. They may be out of date or wrong and are estimates. Check measurements and site conditions yourself before you price a job.
- You are responsible for your quotes and prices, and for permission to record video, photos or audio on a customer's property and of any person in them.
- We are not responsible for estimating errors in a quote you approved. Any liability we have is limited by section 18.
13. Job Costing
- Job Costing matches transactions that are already in your QuickBooks Online, and hours from Jobber timesheets, to your jobs, and shows a daily budget view. Bank feeds update daily, so it isn't real time.
- Matches and categories are suggestions shown in Dane Suite. When we're unsure, we ask you. We don't change your QuickBooks books.
- Job Costing is a management tool. It is not accounting, tax, payroll or legal advice. You and your accountant remain responsible for your books, tax filings and financial decisions.
14. How we protect your data, and who helps us
Security
We use reasonable administrative, technical and physical safeguards for your data, including:
- encryption in transit (HTTPS/TLS), and our database and hosting providers encrypt stored data;
- connection tokens kept in an encrypted vault, not in ordinary tables;
- each client's data kept in its own workspace, with access controls that stop one client seeing another's data;
- staff access limited to what's needed to run your service; and
- a log of every email we send for you.
Service providers (subprocessors)
We use these providers to run Dane Suite. Each processes your data only to provide its part of the service:
| Provider | What it does for us |
|---|---|
| Cloudflare | Website and application hosting, network and security |
| Supabase | Database, file storage and sign-in |
| Anthropic | AI model that classifies notifications and drafts text |
| Google and Microsoft APIs | Connecting to the mailbox you authorize (read, and send approved messages) |
| Stripe | Payments and invoices |
| Resend | Delivery of our system emails (alerts, welcome and report emails) |
Jobber and Intuit (QuickBooks) are your own software providers. We read from them with your permission. When we add a texting provider for text alerts, or change a provider that handles your data, we will update this list and email you at least 15 days before the change applies to your data, except in an emergency. AI providers process your data under business terms that don't allow them to train their models on it.
Security incidents
If we confirm a security incident that exposed your data to someone who shouldn't have it, we will tell you without undue delay and within 72 hours of confirming it. We'll tell you what happened, what data was involved, what we're doing about it and what you can do. We'll help you meet any notice duties you have, including under Arizona's data breach law (A.R.S. §18-552).
15. Your data: ownership, use, export and deletion
- You own your data. That includes your leads, customers, messages, templates, price book, bid documents and reports. You give us permission to use it only to provide Dane Suite to you, including support, your reports and keeping the service secure.
- We never sell your data or use it for advertising. It is never shared with another client or another business, except our service providers in section 14 or where the law requires it.
- Service data. We may use anonymized, aggregated statistics that can't identify you or your customers, such as how many notifications a source sends on average, to run and improve Dane Suite. Google user data is used only as section 7.3 allows.
- Your numbers are never published or used in a case study without your separate written permission.
- When a plan ends, we stop sending and remove our access to your accounts. You keep your templates. You can ask for an export of your data, in a common format such as CSV, within 30 days. We delete your workspace data within 30 days after the export, or after the plan ends if you don't want one. Backups roll off within a further 30 days. We may keep billing records and anything the law requires us to keep.
- You can also ask us to delete specific data at any time while your plan is active.
16. Confidentiality
Each of us will keep the other's non-public business information confidential. For you, that means your data, pricing and bids. For us, it means our non-public prompts, workflows and pricing tools. Each of us will use it only for this agreement and share it only with people and providers who need it and are bound to keep it confidential. This doesn't cover information that is public through no fault of the receiver, that the receiver already had or developed independently, or that the law requires to be disclosed (with notice to the other where allowed). This section continues for 3 years after the agreement ends, and for as long as the information stays confidential in the case of your customer data and bid information.
17. What we don't promise
We promise what we do. We read the notifications you chose and alert you to real jobs. We match public bids to your license. We answer inquiries quickly with your approved wording and follow up open estimates on schedule. We report honestly every month. We don't promise any number of leads, jobs, bids won, reviews, hours saved or revenue, except for the specific Pro guarantee in section 6. Dane Suite gives operational help. It does not give legal, accounting, tax or licensing advice.
Apart from what this agreement says, the service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don't promise the service will be uninterrupted or error-free, or that any third-party site, API or notification will stay available.
18. Limits of liability
- To the extent the law allows, our total liability under this agreement is limited to the fees you paid us in the 3 months before the event that caused the claim.
- Neither of us is liable to the other for lost profits, lost jobs or bids, lost data that could have been restored from your own systems, or indirect, special, incidental or consequential damages, even if warned they were possible.
- These limits don't apply to fees you owe, to either party's indemnity in section 19, or to liability that the law doesn't allow to be limited. They don't limit a refund owed under section 6.
19. Indemnities
- You will defend and cover us against third-party claims, and the reasonable costs, that come from: messages, posts, quotes or bids sent or submitted in your name that you approved or set to send automatically; your customers' consent and opt-out records; your use of third-party sites against their terms; your bids, licenses and representations to agencies; or your breach of this agreement or the law.
- We will defend and cover you against third-party claims, and the reasonable costs, that come from: a claim that the Dane Suite service itself (not your content) infringes someone's intellectual property; or our breach of sections 7, 14, 15 or 16.
- The party asking to be covered must tell the other promptly, let it control the defense, and cooperate. Neither may settle a claim that admits fault for the other without the other's consent.
20. Price changes and plan changes
- Your monthly rate is fixed for 12 months from go-live. After that, we give at least 30 days' written notice of any change. If you don't accept it, you can cancel before it takes effect.
- You can upgrade at any time. The setup fee for an upgrade is the difference between the two plans' setup fees. You can downgrade at the end of a minimum term.
21. Suspension and ending early
- We may pause a feature immediately if it is sending something harmful or wrong, if a provider or the law requires it, or to protect your data. We'll tell you why and restart it as soon as it's safe.
- Either of us may end this agreement with written notice if the other seriously breaks it and doesn't fix the problem within 15 days of being told. If you end it for our breach, you don't owe the rest of any minimum term, and we refund any fees you prepaid for time after it ends.
- We may end it with written notice if you use Dane Suite for anything unlawful, deceptive or abusive, or in a way that puts our Google, Microsoft or other provider access at risk.
- If we stop offering Dane Suite or your plan, we give you at least 30 days' notice and refund any fees you prepaid for time after it ends. You don't owe the rest of any minimum term.
22. Separate from other products
Dane Suite services are sold separately from any other product or service offered by Danesure, Inc. and are never conditioned on purchasing one.
23. Changes to this agreement
This page shows the current version and its date. We may update this agreement by giving existing clients at least 30 days' written notice by email before a change applies to them. If a change materially hurts you during a minimum term, you can cancel before it takes effect without owing the rest of the minimum. Changes required by law, or by Google, Microsoft or another provider we connect through, may apply sooner. We'll tell you as early as we can.
24. Governing law and disputes
Arizona law governs this agreement, without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in Maricopa County, Arizona, and each of us agrees to those courts' jurisdiction. Before going to court, each of us will try in good faith to resolve the dispute by talking for at least 30 days, except for urgent relief to protect data or confidential information.
25. Notices
Notices under this agreement, including cancellation, must be in writing. Email counts. Our notices go to the email address on your account. Yours go to [email protected], or by mail to Danesure, Inc. dba Dane Suite, 14545 W Grand Ave, Ste 106 #1196, Surprise, AZ 85374. A notice sent by email is received the next business day.
26. General
- Whole agreement. This agreement, your order (checkout, order form or invoice) and any written scope for custom work are the whole agreement between us about Dane Suite. If they conflict, the order or written scope wins for price and scope, and this agreement wins for everything else.
- Events outside our control. Neither of us is responsible for a delay caused by something outside our reasonable control, such as an outage at a provider, a change to a third-party site or API, or a natural disaster. This doesn't excuse payment.
- Transfer. Neither of us may transfer this agreement without the other's consent, except to a successor of the whole business with notice.
- Independent businesses. We are independent contractors. Neither of us is the other's agent, partner or employee.
- Severability and waiver. If part of this agreement can't be enforced, the rest still applies. Not enforcing a term once doesn't waive it.
- What continues. Sections 4 (fees owed), 15 to 19, 24 and 26 continue after the agreement ends.
